Definitions "Customer" means the other party to this agreement. "Products" means the goods or services provided by limegreenjelly to the Customer. "Site" means the Internet Website of limegreenjelly, www.limegreenjelly.com and its sub pages. Internet Your access to, and the use of this Site www.limegreenjelly.com and its sub pages is subject to the following terms and conditions and all applicable laws. By accessing and browsing the Site, you accept, without limitation or qualification, the terms and conditions and acknowledge that any other agreements between you and limegreenjelly.com are superseded and of no force or effect. You may not distribute, modify, transmit, reuse, repost, or use the contents of the Site www.limegreenjelly.com and its sub pages for commercial purposes, including images, audio, text, video, test pages and data without the written permissions of the Partners of limegreenjelly. You should assume that everything you see or read on the Site is copyrighted unless otherwise specifically stated and may NOT be used except as provided in the terms and conditions laid out herein without the written permissions of the Partners of limegreenjelly. General The contract in respect of Products between limegreenjelly and the Customer comes into existence when the Customer’s order has been accepted by limegreenjelly in accordance with the terms and conditions herein. The terms and conditions herein shall not be altered, modified or varied unless expressly agreed to in writing by the Partner(s) of limegreenjelly. Delivery Delivery times quoted are estimates only, and limegreenjelly shall not be liable for any delays howsoever caused. Subject to the Returns clause, below, unless otherwise specifically agreed in writing, all risk in the Product shall pass to the Customer or its agent at the time of delivery. Payment Terms Payment shall be made in advance and prior to the despatch of the Products. Unless otherwise agreed by limegreenjelly, any outstanding credit account invoices will be payable by the Customer 30 days from date of invoice. All Products remain the property of limegreenjelly until accounts are settled in full. In the event of late payment, limegreenjelly reserves the right to charge interest on overdue accounts at an interest rate of 5% above the prevailing base rate of Abbey Bank plc. Prices All price lists, catalogues, advertising matter or similar materials issued by limegreenjelly are indicative only as to the price and range of Products available from time to time and information contained therein shall not be binding on limegreenjelly. Quoted prices are given by limegreenjelly at the time of the Customer placing the order. limegreenjelly reserves the right not to include an all inclusive nominal basic delivery charge at the time of the Customer placing an order. limegreenjelly reserves the right to amend the quoted prices and the delivery charges at any time prior to the date of despatch. Transactions will be in Pounds (£) Sterling, with international orders being debited at the prevailing currency exchange rates. Title & Risk Title (Ownership) in the Products shall not pass to the Customer until limegreenjelly has received in full all monies owed by the Customer under this or any other contract. Prior to the title in the Products passing to the Customer, the Customer shall hold the Products as fiduciary agent to limegreenjelly and shall keep the Products properly stored, protected and insured and clearly identified and shall bear the costs thereof. Returns (Read important additional clauses at bottom of page) In opening the Product the Customer further agrees to be bound by our terms and conditions and is specifically referred to our following clause hereunder.
Limitation of Liability & Force Majeure limegreenjelly's liability for breach of contract or negligence shall be limited at limegreenjelly's sole discretion to the free replacement of damaged or faulty items or the issue of credit notes in respect thereof or granting of a refund and shall relate only to the actual items provided that no modifications or alterations to the Products have been made by the Customer. Other Rights The Customer hereby acknowledges that failure to comply with such terms and conditions herein may result in the Customer being refused custom with limegreenjelly. The Customer hereby acknowledges and agrees to indemnify limegreenjelly in respect of all costs, charges or expenses incurred by limegreenjelly as a result of any breach by the Customer of such conditions. Waiver The failure of limegreenjelly to enforce or to exercise, at any time, or for any period of time, any term of, or any right arising pursuant to, this Agreement does not constitute and shall not be construed as, a waiver of such term or right. Legal Provisions The construction, validity and performance of this Agreement is governed by the law of England and the parties submit to the jurisdiction of the English courts. Further Returns Clauses - (Important) We will only accept Products that are in a "Returnable Condition" For Products to be in a Returnable Condition they must be returned to limegreenjelly with all items and documents in the original sale. For Products being returned for a refund the original Product packaging must also be in a suitable condition. The product must be adequately wrapped to prevent damage during transit. limegreenjelly reserves the right not to accept any returned Products unless informed prior to its return. Unless otherwise specifically agreed limegreenjelly reserves the right NOT to accept any Products or goods returned by the Customer unless all carriage is paid in full prior to its despatch to limegreenjelly. limegreenjelly do not accept liability for packages damaged during transit and proof of postage is not proof of delivery. You are therefore strongly advised to send your package by recorded delivery, registered post or courier and maintain sufficient insurance to cover the retail value of the goods. The cost of return carriage is to be borne by the Customer. cushions Our
cushions are all individually hand-crafted, and in some cases made to
order. We can cater to
special requests and accept commissions, blending specific colours to
co-ordinate with your own style and furnishings. All cushions are pre-washed and stain guarded with a fabric protector. Cushions are finished with a zip fastening on the reverse. Should your cushion require washing, we advise gentle hand washing with a mild detergent, and lightly iron inside-out. The
cushion filling is hollow fibre polyester and conforms to British
Standards fire safety. Please note colours may vary slightly due to the nature of some natural fibres. |
